1. Introduction and Acceptance of Terms

Welcome to ShareSlot, operated by shareslot ("shareslot", "the Platform", "we", "us", "our"). ShareSlot is an online marketplace that connects users to share, list, and access subscription slots and digital service plans.

These Terms and Conditions ("Terms") govern your access to and use of the ShareSlot platform, including the website at https://shareslot.me, any associated mobile applications, APIs, and related services (collectively, the "Services").

By registering an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and ShareSlot. We reserve the right to update these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms:

  • "Platform" means the ShareSlot website, systems, and associated services accessible at https://shareslot.me.
  • "User" means any individual or entity who registers for or uses the Platform.
  • "Host" means a User who lists a subscription slot or plan on the Platform for others to join.
  • "Member" means a User who joins a subscription slot listed by a Host.
  • "Listing" means a subscription slot or plan offered by a Host on the Platform.
  • "Transaction" means any payment made through the Platform in connection with a Listing.
  • "Content" means any information, text, images, or data submitted, posted, or displayed on the Platform.
  • "Account" means a registered user account created on the Platform.
  • "Fees" means the service charges, platform commissions, or processing fees applicable to Transactions.

3. Eligibility

To use the Platform, you must:

  1. Be at least 18 years of age or the legal age of majority in your jurisdiction.
  2. Have the legal capacity to enter into binding agreements under applicable law.
  3. Not be prohibited from using the Services under the laws of the UAE, GCC member states, or any other applicable jurisdiction.
  4. Not have been previously suspended or removed from the Platform.

By creating an Account, you represent and warrant that you meet all eligibility requirements. If you are using the Platform on behalf of a company or legal entity, you represent that you are authorized to bind that entity to these Terms.

4. Account Registration and Security

4.1 Registration

To access certain features of the Platform, you must create an Account by providing accurate, current, and complete information including your name, email address, and any other required details.

4.2 Account Accuracy

You agree to maintain and promptly update your Account information to keep it accurate, current, and complete. Providing false or misleading information is a breach of these Terms and may result in immediate account termination.

4.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your Account.
  • Immediately notifying us at support@shareslot.me if you suspect any unauthorized access to or use of your Account.

ShareSlot will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4.4 One Account Per User

Each User is permitted to maintain only one active Account. Creating multiple accounts to circumvent restrictions, suspensions, or bans is strictly prohibited.

5. Platform Services and Listings

5.1 Nature of the Platform

ShareSlot is a technology marketplace that facilitates connections between Hosts and Members. ShareSlot is not a party to any subscription agreement between a Host and a Member, nor does ShareSlot own, operate, or endorse any third-party subscription service listed on the Platform.

5.2 Host Responsibilities

As a Host, you agree to:

  • Only list subscriptions or plans that you are legally authorized to share.
  • Provide accurate, complete, and non-misleading information in all Listings.
  • Honor committed Listings and fulfill all obligations to Members who join your Listing.
  • Not list services that violate the terms of service of the underlying subscription provider.
  • Not list illegal, fraudulent, or prohibited content or services.

5.3 Member Responsibilities

As a Member, you agree to:

  • Make payments on time as agreed in the Listing terms.
  • Use the shared access solely for personal, lawful purposes.
  • Not share or transfer your slot access to any third party.
  • Respect the reasonable rules and preferences set by the Host.

5.4 Platform Role

ShareSlot reserves the right, but is not obligated, to review, approve, modify, or remove any Listing at its sole discretion without prior notice.

6. Payments, Fees, and Refunds

6.1 Payment Processor

Payments on ShareSlot are processed by our payment provider, Ziina, a UAE-licensed payments provider. Ziina securely handles your card and wallet details on our behalf. ShareSlot remains responsible for managing your order, subscription, refunds, and customer support.

6.2 Payment Methods

ShareSlot, through Ziina, accepts payments via the methods made available at checkout, which may include credit/debit cards, Apple Pay, and other supported wallets.

6.3 Platform Fees and Taxes

ShareSlot charges a service fee on Transactions. Current fee structures are displayed on the Platform at the time of Transaction and may be updated with reasonable notice. Prices shown at checkout are inclusive of any applicable taxes that we are required to collect.

6.4 Refunds

We offer a 30-day money-back guarantee on eligible purchases. Refunds are issued back to your original payment method via Ziina.

  • How to request a refund: Open the My subscriptions section in your ShareSlot dashboard and use the Cancel action on the relevant order, or contact support@shareslot.me and we will process your refund directly.
  • Host cancellations: If a Host cancels a Listing after a Member has paid, the Member is entitled to a full refund of the Transaction amount.
  • Processing time: Approved refunds typically arrive within 5–10 business days, depending on your bank or card issuer.
  • Abuse: We reserve the right to decline refund requests where there is evidence of fraud, abuse, or material breach of these Terms.

7. Prohibited Activities

You agree not to use the Platform for any purpose that is unlawful, harmful, or in violation of these Terms. Prohibited activities include, but are not limited to:

  1. Listing, accessing, or facilitating access to subscription services in violation of those services' own terms of use.
  2. Engaging in fraud, misrepresentation, or deceptive practices.
  3. Harassing, threatening, or abusing other Users.
  4. Uploading or transmitting viruses, malware, or any other harmful code.
  5. Attempting to gain unauthorized access to the Platform, other Users' accounts, or connected systems.
  6. Scraping, crawling, or data-mining the Platform without express written consent from ShareSlot.
  7. Using the Platform to facilitate money laundering, terrorist financing, or any other financial crime under UAE law.
  8. Circumventing any security, access control, or payment mechanism of the Platform.
  9. Creating fake reviews, fraudulent Listings, or manipulating Platform ratings.
  10. Violating any applicable UAE, GCC, or international laws and regulations.

Violations may result in immediate account suspension, permanent ban, withholding of funds, and/or referral to relevant law enforcement authorities.

8. Intellectual Property

8.1 ShareSlot Ownership

All intellectual property rights in the Platform, including but not limited to the ShareSlot name, logo, brand, software, design, text, graphics, and underlying technology, are owned by or licensed to ShareSlot and are protected under applicable UAE and international intellectual property laws.

8.2 Limited License to Users

ShareSlot grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose in accordance with these Terms. This license does not include any right to sublicense, reproduce, modify, or create derivative works of the Platform.

8.3 User Content

By submitting Content to the Platform, you grant ShareSlot a worldwide, royalty-free, non-exclusive license to use, store, display, and distribute such Content solely for the purpose of operating and improving the Platform. You retain ownership of your Content and represent that you have all necessary rights to grant this license.

8.4 Feedback

Any feedback, suggestions, or ideas you provide to ShareSlot regarding the Platform may be used by ShareSlot without any obligation to compensate you.

9. Privacy and Data Protection

ShareSlot collects, processes, and stores personal data in accordance with its Privacy Policy, available at https://shareslot.me/privacy. By using the Platform, you consent to such collection and processing.

ShareSlot complies with applicable data protection regulations, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("PDPL").

You have the right to request access to, correction of, or deletion of your personal data by contacting us at privacy@shareslot.me.

10. Disclaimers and Limitation of Liability

10.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis. ShareSlot makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee of Availability

ShareSlot does not guarantee that the Platform will be available at all times, uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to suspend, modify, or discontinue the Platform at any time without notice.

10.3 Third-Party Services

ShareSlot is not responsible for the availability, accuracy, or reliability of any third-party subscription services listed on the Platform. Any disputes between Users and third-party service providers are solely between those parties.

10.4 Limitation of Liability

To the fullest extent permitted by applicable law, ShareSlot, its directors, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, or business opportunities.
  • Any damages arising from unauthorized access to or alteration of your Account or Transactions.
  • Any damages resulting from User conduct on the Platform.

In no event shall ShareSlot's total aggregate liability to any User exceed the total Fees paid by that User to ShareSlot in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShareSlot and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Platform.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Any Content you submit, post, or transmit on the Platform.
  • Any dispute between you and another User.

12. Suspension and Termination

12.1 By ShareSlot

ShareSlot reserves the right to suspend or permanently terminate your Account and access to the Platform at any time, with or without notice, for reasons including but not limited to:

  • Violation of these Terms.
  • Suspected fraudulent, abusive, or illegal activity.
  • Failure to pay amounts owed.
  • Regulatory or legal requirements.

12.2 By You

You may close your Account at any time by contacting support@shareslot.me. Termination of your Account does not relieve you of any obligations or liabilities incurred prior to termination.

12.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. ShareSlot may retain certain data as required by law or for legitimate business purposes. Any outstanding financial obligations survive termination.

13. Dispute Resolution

13.1 Informal Resolution

In the event of a dispute arising from or relating to these Terms or the Platform, you agree to first contact ShareSlot at legal@shareslot.me and attempt to resolve the matter informally within thirty (30) days.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws of the Emirate of Abu Dhabi, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the competent courts of Abu Dhabi, United Arab Emirates.

14. Force Majeure

ShareSlot shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond ShareSlot's reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, government actions, internet or telecommunications failures, or power outages.

15. Modifications to the Platform and Terms

ShareSlot reserves the right to:

  • Modify, suspend, or discontinue any part of the Platform at any time.
  • Update these Terms at any time by posting the revised version on the Platform with an updated effective date.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and ShareSlot with respect to your use of the Platform and supersede all prior agreements, representations, or understandings.
